Effective Date: September 02, 2026
Last Updated: September 02, 2026

These Terms of Use (“Terms”) govern your access to and use of www.fileright.com.au and any related website, application, software, account, form-preparation workflow, artificial intelligence feature, automation, customer service function, document-preparation service, electronic delivery service, or other service operated by File Right Inc., its parents, subsidiaries, affiliates, successors, and assigns (“FileRight,” “Company,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing or using the Services, creating an account, purchasing a Service, clicking to accept these Terms, or otherwise indicating acceptance electronically, you agree to be legally bound by these Terms.

If you do not agree to these Terms, do not access or use the Services.

These Terms should be read together with our Privacy Policy, which explains how we collect, use, disclose, retain, transfer, and protect personal information.

1. Acceptance, Assent, and Contract Formation

These Terms form a legally binding agreement between you and FileRight.

You acknowledge and agree that:

  • You have read and understand these Terms;
  • You agree to comply with these Terms and all applicable laws;
  • Your electronic acceptance has the same legal effect as a written agreement, to the extent permitted by applicable law;
  • No handwritten or separate signature is required for these Terms to be enforceable;
  • Your continued access to or use of the Services after these Terms are presented to you constitutes acceptance of these Terms.

If you are using the Services on behalf of another person, you represent and warrant that you have authority to do so and that the information you provide is accurate, complete, and authorized by that person.

2. Eligibility and User Representations

You represent and warrant that:

  • You are at least 18 years old;
  • You have the legal capacity to enter into this agreement;
  • You are using the Services for lawful purposes only;
  • All information you provide is accurate, current, complete, and not misleading;
  • You will promptly correct or update any inaccurate information;
  • You will not use the Services to prepare, submit, upload, mail, or transmit false, fraudulent, misleading, incomplete, or unlawful information;
  • You will not use the Services in a way that violates any Commonwealth, state, territory, local, or foreign law.

FileRight may rely on the information, instructions, and representations you provide without independently verifying them, to the fullest extent permitted by applicable law.

3. Nature of the Services

FileRight provides technology-based, self-directed, non-lawyer, non-migration-agent services. The Services may include:

  • General immigration-related information;
  • Automated form-preparation software;
  • Guided questionnaires and workflows;
  • Document-preparation assistance;
  • Application packet assembly;
  • Print, mail, electronic delivery, or delivery support, where available;
  • Electronic filing, upload, or submission support, where expressly offered;
  • Customer service and technical support;
  • AI-assisted tools, automated prompts, or automated support features;
  • Product recommendations, reminders, and account communications;
  • Other ancillary services requested by you or made available through the Website.

FileRight prepares application materials based on the information and direction you provide. Decisions regarding the content of any answer, the accuracy of any information, the selection of any form, the choice of any application path, and the decision to submit any materials are solely yours unless a purchased Service expressly states otherwise.

Fees paid to FileRight are paid in exchange for access to and use of the Services. Government forms, instructions, and information may be available directly from the applicable government agency without using FileRight.

4. No Government Affiliation

FileRight is a private company.

FileRight is not the Australian Department of Home Affairs, the Administrative Review Tribunal, the Australian Border Force, the Australian Government, any state or territory government, or any other government agency.

FileRight is not affiliated with, endorsed by, approved by, sponsored by, or acting on behalf of the Australian Department of Home Affairs, the Administrative Review Tribunal, the Australian Border Force, the Australian Government, or any other government authority.

You are not required to use FileRight to prepare or submit any visa, citizenship, status, sponsorship, travel, migration, or other government form.

Government forms, instructions, resources, and filing information may be available directly from the applicable government agency. Fees paid to FileRight are for FileRight’s Services only and do not include visa application charges, government filing fees, biometric fees, health examination fees, police check fees, courier fees, third-party fees, taxes, or other government charges unless expressly stated at checkout.

5. No Legal Advice; No Immigration Assistance; No Registered Migration Agent Relationship

5.1 FileRight Is Not a Law Firm, Legal Practitioner, or Registered Migration Agent

FileRight is not a law firm.

FileRight is not an Australian legal practitioner.

FileRight is not a registered migration agent.

FileRight does not act as your registered migration agent, Australian legal practitioner, representative, agent, or appointed contact before the Department of Home Affairs, the Administrative Review Tribunal, the Australian Border Force, any Australian court, any tribunal, or any other government authority.

FileRight does not provide, and does not intend to provide, “immigration assistance” as that expression is defined in section 276 of the Migration Act 1958 (Cth). FileRight provides self-directed technology, administrative, clerical, and document-preparation tools. The Services are designed to assist users in recording information supplied by the user, transferring user-supplied information into forms, identifying unanswered fields, assembling materials, and performing other administrative or clerical functions. FileRight does not use or purport to use knowledge of, or experience in, Australian migration procedure to advise users regarding eligibility, visa subclass selection, application strategy, substantive answers, legal consequences, evidence sufficiency, prospects of success, or any course of action.

5.2 Self-Representation

You are representing yourself in any visa, migration, citizenship, sponsorship, or government matter you undertake using the Services.

You are solely responsible for:

  • Determining whether you are eligible for any visa, citizenship, sponsorship, travel, status, migration, or other government benefit;
  • Selecting the form, application, visa subclass, program, pathway, filing method, or submission process you wish to pursue;
  • Deciding whether to consult an Australian legal practitioner, registered migration agent, or other qualified professional;
  • Reviewing all answers, forms, outputs, application packets, supporting documents, instructions, and submissions before using, signing, filing, mailing, uploading, or submitting them;
  • Ensuring that all information submitted to any government agency is true, accurate, complete, and not misleading;
  • Monitoring your case status;
  • Responding to government notices, deadlines, requests, letters, invitations, interview notices, or other correspondence;
  • Signing, filing, mailing, uploading, or submitting your application materials unless your purchased Service expressly provides otherwise.

Any statement that you “may be eligible,” “may qualify,” “may be able to apply,” or similar language is a general informational signal based solely on information you provide. It is not legal advice, immigration advice, migration advice, immigration assistance, citizenship advice, a legal opinion, an eligibility determination, representation by an Australian legal practitioner, registered migration agent, agent, or appointed contact, or a guarantee of acceptance, grant, approval, or success.

5.3 When to Seek Professional Advice

You should consult an Australian legal practitioner, registered migration agent, or other qualified professional if you need advice about your legal rights, eligibility, risks, strategy, deadlines, prior refusals, cancellations, character issues, health issues, inadmissibility, unlawful status, bridging visas, merits review, judicial review, complex facts, or any other legal or migration-specific issue.

FileRight cannot advise you which visa subclass, immigration program, form, category, answer, evidence, legal argument, filing strategy, or course of action is best for you.

6. Government Decision-Making and No Guarantees

Government agencies exercise sole discretion over eligibility, acceptance, processing, requests for additional information, invitations, investigations, delays, refusals, returns, cancellations, grants, approvals, and all other decisions.

FileRight has no authority or influence over the Department of Home Affairs, the Administrative Review Tribunal, the Australian Border Force, the Australian Government, any state or territory government, or any other government authority.

FileRight does not guarantee:

  • Eligibility for any visa, citizenship, sponsorship, travel, status, migration, or other government benefit;
  • Acceptance of any form, application, upload, filing, packet, or submission;
  • Grant or approval of any application;
  • Avoidance of refusal, return, rejection, delay, cancellation, request for additional information, invitation, investigation, enforcement action, or other adverse government action;
  • Any government processing time;
  • Any particular outcome from the Department of Home Affairs, the Administrative Review Tribunal, the Australian Border Force, or any other government authority.

Any timelines, examples, estimates, processing descriptions, product descriptions, or informational materials are illustrative only and may change without notice.

7. User Control and Responsibility

All actions taken through the Services occur at your direction and based on information you provide.

Before signing, filing, mailing, uploading, submitting, or otherwise using any application materials, you must carefully review all completed forms, answers, supporting documents, instructions, and related materials to confirm that they accurately reflect the information you intended to provide.

You must promptly notify FileRight of any technical issue, formatting issue, preparation issue, or error before using, signing, mailing, uploading, filing, or submitting any materials.

Unless your purchased Service expressly states otherwise, you are solely responsible for submitting your application materials to the applicable government agency.

FileRight does not review, validate, or verify the legal sufficiency, completeness, strategic suitability, immigration consequences, or migration consequences of your submissions unless expressly stated otherwise in the description of the purchased Service.

8. Electronic Filing, Upload, or Submission Support

If a Service expressly includes electronic filing, electronic submission, upload assistance, or similar support, FileRight may assist in transmitting or preparing materials for transmission to the Department of Home Affairs or another applicable government authority, as available and permitted.

Electronic filing or submission support is available only for certain application types, government systems, documents, and circumstances. Government electronic filing systems, portal access rules, eligibility rules, document requirements, signature requirements, upload requirements, and procedures may change without notice.

You acknowledge and agree that:

  • You remain responsible for reviewing all materials before submission;
  • You remain responsible for verifying that the application was received, accepted, or processed by the applicable government authority;
  • You may be required to create, access, verify, or use your own government account or portal, including ImmiAccount where applicable;
  • You may be required to electronically sign forms, authorize submission, upload documents, pay government fees, or complete other government-required steps;
  • FileRight cannot guarantee successful transmission, receipt, acceptance, or processing by any government system;
  • If electronic filing, upload, or submission is unavailable, incomplete, rejected, returned, unsuccessful, or delayed, you may be responsible for filing manually, refiling, correcting, or otherwise responding.

By requesting electronic filing, upload, or submission support, you authorize FileRight to use the information you provide to perform the requested Service and, where applicable, to disclose information to the Department of Home Affairs or another applicable government authority as necessary to perform that Service.

Any electronic filing, upload, or submission support is administrative and technical only and is performed at your direction. FileRight does not decide whether you should submit an application, when you should submit it, what visa subclass or pathway you should select, what substantive answers you should provide, what evidence is legally sufficient, or how you should respond to any government request.

9. Fees, Pricing, Government Fees, and Taxes

Fees paid to FileRight cover access to and use of the Services purchased from FileRight.

Unless expressly stated at checkout, FileRight fees do not include:

  • Visa application charges;
  • Government filing fees;
  • Biometrics fees;
  • Health examination fees;
  • Police check fees;
  • Courier fees;
  • Mailing fees;
  • Translation fees;
  • Legal practitioner fees;
  • Registered migration agent fees;
  • Professional service fees;
  • Taxes;
  • Other third-party or government costs.

You are responsible for paying all applicable government fees, third-party costs, and taxes.

FileRight strives to present prices clearly and accurately. Any mandatory FileRight fees will be disclosed before purchase. Government fees, taxes, and other amounts imposed by law may be presented separately where permitted by applicable law.

Prices, promotions, Service availability, and product features may change without notice, subject to applicable law.

If a price, product description, promotion, or fee is incorrect due to an error, FileRight may correct the error, cancel the transaction, or offer the corrected Service at the corrected price, to the extent permitted by applicable law.

10. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any right, remedy, guarantee, warranty, condition, or protection that cannot be excluded, restricted, or modified under the Australian Consumer Law, being Schedule 2 to the Competition and Consumer Act 2010 (Cth), or any other applicable law.

Our Services may come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with a service, you may be entitled to cancel your service contract with us and to a refund for the unused portion, or compensation for reduced value. You may also be entitled to be compensated for any other reasonably foreseeable loss or damage. If a failure does not amount to a major failure, you may be entitled to have problems with the service rectified within a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.

Any exclusions, limitations, refund terms, disclaimers, indemnities, dispute terms, or other provisions in these Terms apply only to the extent permitted by applicable law.

11. Refund Policy

11.1 Overview

This Refund Policy is subject to your rights under the Australian Consumer Law and any other applicable law.

Except where required by applicable law, fees paid to FileRight for access to or use of the Services are non-refundable once substantial performance has occurred.

Notwithstanding the foregoing, FileRight offers a limited refund right for certain Services as described below.

Nothing in this Refund Policy limits any non-excludable rights you may have under the Australian Consumer Law or other applicable law.

11.2 Thirty-Day Limited Refund for Certain Services

For Services that do not include third-party professional services, legal services, migration agent services, translation services, mailing services, courier services, or government submission assistance, you may request a refund within thirty (30) calendar days of the original payment date, provided that:

  • The application or materials have not been printed, downloaded, exported, saved, shipped, mailed, uploaded, submitted, or otherwise accessed in final form;
  • The application has not been filed, mailed, uploaded, submitted, or delivered to any government authority;
  • No third-party services have been initiated;
  • No translation, shipping, mailing, courier, electronic filing, upload, or submission support has been initiated;
  • Substantial performance of the purchased Service has not occurred.

For purposes of this Refund Policy, substantial performance includes, without limitation:

  • Accessing, downloading, printing, exporting, saving, or receiving completed or finalised application materials;
  • Generating finalised application outputs;
  • Initiating translation, mailing, courier, filing, upload, electronic filing, or submission support;
  • Requesting that FileRight prepare materials for shipment, delivery, upload, filing, or submission;
  • Using the Services in a manner that produces completed deliverables ready for filing or submission;
  • Receiving a physical or electronic product;
  • Initiating a third-party professional service.

Once substantial performance has occurred, the Service fee becomes non-refundable except where required by applicable law.

11.3 Government Fees and Third-Party Services

Visa application charges, government filing fees, biometrics fees, health examination fees, police check fees, courier fees, translation fees, legal practitioner fees, registered migration agent fees, professional service fees, and other third-party costs are non-refundable by FileRight and are governed by the applicable government agency’s or third-party provider’s terms and policies.

FileRight does not control government decision-making and does not provide outcome-based refunds.

11.4 No Outcome-Based Refunds

Refund eligibility is not based on:

  • Grant, approval, refusal, return, rejection, or cancellation of any application;
  • Requests for additional information;
  • Invitations or interview requests;
  • Administrative delays;
  • Changes in law, policy, procedure, forms, fees, portals, or agency practice;
  • Government processing times or backlogs;
  • Your underlying eligibility or ineligibility;
  • Any government decision or action outside FileRight’s control.

11.5 Print, Mail, Courier, and Delivery Services

If your Service includes print, mail, courier, or delivery support, only the package shipment described at checkout is included unless expressly stated otherwise.

If tracking shows that a package was delivered, no refund will be issued for the print, mail, courier, or delivery portion of the Service, except where required by applicable law.

If a package is not received and cannot be shown as delivered by the applicable carrier, FileRight may send a replacement package at no additional cost or provide another remedy, as determined by FileRight and subject to applicable law.

11.6 Verification and Abuse Prevention

FileRight may request documentation reasonably necessary to evaluate a refund request.

Refunds may be denied in cases involving:

  • Fraud or misrepresentation;
  • Chargeback abuse or payment disputes initiated before contacting FileRight;
  • Violation of these Terms;
  • Repeated refund requests indicating misuse of the Services;
  • Attempts to obtain completed application materials before requesting a refund;
  • Use of the Services in a manner inconsistent with this Refund Policy.

FileRight may suspend or terminate accounts engaged in abusive refund practices.

11.7 Discretionary Credits

If a refund does not qualify under this Refund Policy, FileRight may, at its sole discretion, issue a non-transferable store credit.

Store credit:

  • Has no cash value;
  • May not be redeemed for cash;
  • Expires one (1) year from issuance unless otherwise stated;
  • May not be resold, transferred for value, or publicly marketed.

11.8 Submitting Refund Requests

Refund requests should be submitted through the official refund request portal or other official refund process identified by FileRight.

Using the official refund process helps FileRight verify your request and process it efficiently. Requests submitted through social media platforms, messaging applications, payment processors, app stores, marketplaces, or informal channels may delay resolution.

Nothing in this section limits any notice, refund, or consumer rights that cannot be limited under applicable law.

11.9 Processing Timeline

Approved refunds will be issued to the original method of payment within five (5) business days of approval, where reasonably possible.

Financial institutions and payment processors may require additional time to post the transaction. FileRight is not responsible for delays caused by payment processors, card issuers, or banks.

12. Account Registration and Access Control

Certain Services require account creation.

You agree to:

  • Provide accurate, complete, and current account information;
  • Keep your login credentials confidential;
  • Accept responsibility for all activity under your account;
  • Promptly update inaccurate or outdated information;
  • Notify FileRight immediately if you believe your account has been compromised.

You may not:

  • Use another person’s account without authorisation;
  • Create an account using false or misleading information;
  • Impersonate another person;
  • Transfer, sell, rent, or assign your account or access to the Services.

FileRight may suspend, restrict, or terminate access to your account or the Services where we reasonably consider it necessary, including for compliance concerns, security risks, fraud prevention, risk management, legal exposure, violation of these Terms, or business necessity. Where reasonably practicable and appropriate, FileRight will provide notice, but may act without prior notice where necessary for security, fraud prevention, legal, compliance, operational, or risk-management reasons.

Termination may occur without refund except where a refund, remedy, or other right is required under the Australian Consumer Law or other applicable law.

13. Customer Service and Technical Support

FileRight may provide customer service, technical support, account support, document access support, product support, payment support, refund support, or other non-legal support in connection with the Services.

Customer service representatives may assist with:

  • Account access;
  • Technical issues;
  • Payment or refund questions;
  • Printing or downloading materials;
  • Locating completed forms or packets;
  • Explaining how to use the Website or Services;
  • Status of FileRight orders or Service delivery;
  • General product questions;
  • Troubleshooting technical issues.

Customer service representatives do not provide legal advice, immigration advice, migration advice, immigration assistance, citizenship advice, case strategy, eligibility determinations, document sufficiency review, recommendations about legal rights or options, or representation before any government authority.

If you contact customer service and ask FileRight to help access, generate, troubleshoot, review formatting, or deliver your completed application materials, you authorize FileRight personnel, contractors, and service providers to access your account and view information reasonably necessary to provide the requested support.

If you request remote support, screen-sharing support, or similar technical assistance, you acknowledge that such support may involve access to your device, browser, account, screen, or application data for the limited purpose of troubleshooting or providing the support you request. You are responsible for closing unrelated documents, accounts, tabs, files, or windows before initiating remote support.

FileRight will use reasonable efforts to limit customer service access to what is necessary to provide support. You acknowledge that support interactions may involve viewing personal information you have entered into the Services.

FileRight may use customer service communications, chat transcripts, call recordings, support tickets, feedback, and related interaction data for quality assurance, training, fraud prevention, security, analytics, service improvement, AI-assisted support improvement, and business purposes, subject to applicable law and our Privacy Policy.

FileRight is not responsible for technical problems, data loss, device issues, internet issues, third-party software issues, third-party platform issues, or user error except to the extent liability cannot be excluded under applicable law.

14. Data Use, Analytics, Automation, and Artificial Intelligence

Such use may include segmentation, modeling, profiling, inference generation, and analytics, subject to applicable law, your privacy rights, and our Privacy Policy.

14.2 AI, Automation, and Automated Outputs

FileRight may use artificial intelligence, machine learning, automation, rules-based systems, algorithms, large language models, chatbots, automated workflows, and similar technologies to provide, support, secure, analyze, test, improve, and develop the Services.

Outputs from AI, automation, software tools, or rules-based systems may be probabilistic, automated, incomplete, inaccurate, or generated without human review.

AI-generated, automated, or rules-based outputs do not constitute legal advice, immigration advice, migration advice, immigration assistance, citizenship advice, authorized representation, legal opinions, eligibility determinations, case strategy, document sufficiency review, or guarantees of any government outcome.

You are responsible for reviewing all outputs before relying on them, signing them, filing them, mailing them, uploading them, submitting them, or using them in any government process.

14.3 De-Identified, Aggregated, Inferred, and Derived Data

Subject to applicable law and our Privacy Policy, FileRight may create, use, retain, analyze, and commercialize de-identified, aggregated, statistical, inferred, or derived data for lawful business purposes, including:

14.4 Privacy Policy Controls

The collection, use, disclosure, retention, transfer, and protection of personal information are governed by our Privacy Policy.

If there is a conflict between these Terms and the Privacy Policy regarding how we process personal information, the Privacy Policy will govern to the extent of the conflict, unless otherwise required by applicable law.

15. Electronic Communications and Marketing

By creating an account, making a purchase, requesting information, using the Services, contacting customer service, or otherwise providing your contact information, you consent to receive transactional, operational, account-related, service-related, and support communications from FileRight.

These communications may include:

FileRight will comply with applicable consent, sender identification, contact information, and unsubscribe requirements under the Spam Act 2003 (Cth) and other applicable laws.

You may unsubscribe from marketing communications at any time using the unsubscribe mechanism included in the message.

Unsubscribing from marketing communications will not prevent FileRight from sending non-marketing transactional, legal, security, account, purchase, customer service, policy, or operational communications.

16. Acceptable Use and Platform Protections

FileRight grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your own personal, lawful, non-commercial use, subject to these Terms.

  • Separate terms, fees, and privacy policies may apply;
  • FileRight is not responsible for the third party’s advice, services, acts, omissions, pricing, performance, security, privacy practices, or outcomes;
  • FileRight does not guarantee the availability, quality, suitability, or result of any third-party service.

Any legal, immigration, migration, citizenship, or professional services are provided only by the applicable third-party professional provider, not by FileRight.

18. Links to Third-Party Websites

The Website may contain links to third-party websites, including government websites. These links are provided for convenience only.

FileRight does not control, endorse, or assume responsibility for third-party websites, materials, forms, instructions, policies, practices, products, or services.

Your access to and use of third-party websites is at your own risk and is governed by the applicable third party’s terms and privacy policies.

19. Intellectual Property

All content, software, technology, workflows, designs, text, graphics, logos, icons, trade names, trademarks, service marks, documents, templates, systems, processes, user interfaces, and other materials provided through the Services, excluding government forms and government materials, are owned by FileRight or its licensors.

You are granted a limited, revocable, non-exclusive, non-transferable license to use the Services as permitted by these Terms.

No ownership rights are transferred to you.

Except as permitted under the Copyright Act 1968 (Cth) or other applicable law, you may not copy, reproduce, modify, adapt, translate, distribute, display, sell, license, create derivative works from, or otherwise exploit any part of the Services except as expressly permitted by FileRight in writing.

All rights not expressly granted are reserved by FileRight.

20. User Feedback, Reviews, Testimonials, and Submitted Content

If you submit feedback, reviews, testimonials, comments, suggestions, ideas, survey responses, support communications, or other content to FileRight or through the Services, you grant FileRight a worldwide, royalty-free, fully sublicensable, transferable license to use, reproduce, modify, publish, distribute, display, create derivative works from, analyze, and otherwise use that content for marketing, advertising, analytics, product improvement, training, AI-assisted service improvement, quality assurance, and other lawful business purposes, subject to applicable law and our Privacy Policy.

No compensation is owed for such use.

To the extent permitted by applicable law, you waive any moral rights or similar rights in such content.

You represent that any content you submit does not violate the rights of any third party, including privacy, publicity, copyright, trademark, moral rights, confidential information, or other intellectual property rights.

FileRight may investigate the claim and may remove or disable access to allegedly infringing material where appropriate.

Submitting a false or misleading infringement notice may result in legal liability.

22. Disclaimers of Warranties

Nothing in these Terms excludes, restricts, or modifies any right, remedy, guarantee, warranty, condition, or protection that cannot be excluded, restricted, or modified under the Australian Consumer Law or any other applicable law.

Subject to the foregoing, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise, except to the extent such warranties cannot be excluded under applicable law.

To the fullest extent permitted by applicable law, FileRight disclaims all warranties, including warranties of:

  • Accuracy;
  • Completeness;
  • Non-infringement;
  • Availability;
  • Security;
  • Timeliness;
  • Error-free operation;
  • Uninterrupted access.

Without limiting the foregoing, FileRight does not guarantee:

  • Grant or approval of any application by the Department of Home Affairs, the Administrative Review Tribunal, the Australian Border Force, or any other government authority;

28. Governing Law and Dispute Resolution

Subject to the Australian Consumer Law and any other applicable law, these Terms and your relationship with FileRight are governed by the laws of the State of Victoria, Australia, and the laws of the Commonwealth of Australia applicable therein, without regard to conflict-of-law principles.

Subject to applicable law, you agree that any action or proceeding arising out of or relating to the Services or these Terms shall be brought in the courts located in Victoria, Australia.

Nothing in this section limits any non-excludable rights you may have under the Australian Consumer Law or any other applicable law.

Before commencing formal proceedings, the parties agree to make reasonable good faith efforts to resolve the dispute informally, unless urgent injunctive or equitable relief is required or unless doing so would prejudice a party’s rights.

Nothing in these Terms prevents a person from exercising any right to participate in a representative, group, class, or consolidated proceeding where that right cannot be excluded, restricted, or modified under applicable law.

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be severed or limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

FileRight’s failure to enforce any provision of these Terms is not a waiver of its right to do so later.

You may not assign or transfer these Terms or your rights under them without FileRight’s prior written consent. FileRight may assign or transfer these Terms in connection with a merger, acquisition, sale of assets, corporate reorganization, or by operation of law.

Headings are for convenience only and do not affect interpretation.

These Terms shall not be construed against FileRight merely because FileRight drafted them.
